Memorandum of Association for the House of Osman Company


The Memorandum of Association for the House of Osman Company (HOC), a joint-stock-company created by the Imperial and Emirati House of Osman, comprises of the following documents:

Title Deed of Ownership

This deed certifies that as of 12 Gevraquun (III) 1657, ownership of the House of Osman Company, the commercial arm of the Imperial and Emirati House of Osman, as represented in the form of 500 shares, is invested in the following share holders:

Articles of Association for the House of Osman Company

1. The name of the joint-stock company is the House of Osman Company.

2. The seat of the board of directors shall be the Chamber of Guilds and Factorage in Shirekeep.

3. The purposes of the company is to maintain the economic assets, holdings, and interests, of the Imperial and Emirati House of Osman.

4. The share capital of the company is 1,146,566,000,000 Erb. The number of shares stays at 500. Owners of shares may transfer or sell shares provided that notice is given of any transfer or sale of shares, including price of sale, to to the Chamber of Guilds and Factorage in Shirekeep, who shall transmit notice of the same to the shareholders.

5. The company is governed by a board of governors, elected by the shareholders’ meeting.

6. Any shareholder, holding more than 100 shares, may call for a shareholders’ meeting, provided that shareholders’ meetings shall be held at least every three Norton years. Every share counts as one vote at a shareholders’ meeting.

7. The articles of association are amended upon reaching a three-quarters vote in favour at the shareholders' meeting.
Compliance Documentation

1. Five hundred (500) shares in the House of Osman Company have been issued. The nominal price of each share is 2,293,132,000 Erb.
2.The Board of Governors, also known as the Board of Directors, comprises of:
a. Azardokht al-Osman, the Lower Ziggurat, Raspur, Raspur Khanate;
b. Isabella bint Dâniyal Umra Suleiman Simrâni-Kâlirion ibn al-Majeed bin Sathrati, Arg-e Ardashir, Amity, Jadid Khaz Modan, Shireroth.
3. No special circumstances exist regarding the company.
4. No person shall receive special rights of privileges in the company save by the agreement of the majority shareholder.
Record of the Shareholder's Meeting of the House of Osman Company

At Shirekeep's Golden Regent Hotel on 12 Gevraquun (III) 1657, the attorneys for the Emira of Jadid Khaz Modan and the Lady of Grifonagaat did meet and, having exchanged and verified their credentials, did convene the Shareholder's Meeting of the House of Osman Company.

Huldah Llynadorion of the ESB Group, and Elijah Kizoq of Anzarolexion, attended as independent witnesses.

The articles of association were agreed and the shares claimed on behalf of the founders. After which the seals of the founders were applied in accordance with sworn affidavits of assent.

The Lady of Grifonagaat, as the largest shareholder, was appointed Director and Chief Executive Officer. The Emira of Jadid Khaz Modan was appointed Director and Deputy Executive Officer.

In accordance with Imperial Decree 859, three keys were prepared.
1. For the Lady of Grifonagaat, as the largest shareholder,
2. For the Prefect of Shirekeep, as ruler of the Dominion in which the company is registered,
3. For Our Lord the Radiant Sun, as Kaiser, to be placed in the care of the Regent.
All three keyholders are entitled to the use of the products, resources and facilities of the company.

With no further business the meeting ajourned.
