We therefore have a tie.

I will now take motions on how to resolve the tie.

I move to use the following method to break the tie.

Into a serving bowl, insert an even number of 35 mm film canisters, into half of which the name LLYNADORION has been inserted, and into the other half SHIMADZU. Mix for several minutes, then retrieve blindly a single canister and read the name inside.

The ESB Group proposes that Mr Shimadzu and Lady Llynadorion be appointed co-presidents.

Another option is that we appoint Mr Shimadzu president of the board of directors, and that we appoint Lady Llynadorion to the chief executive officer.

Either option will require a new agreement to delineate roles and responsibilities.

Indeed – whatever we decide we need a CEO to run the company.

The board of directors represent the shareholders – the CEO is in charge of running the actual company in accordance with instructions from the the board.

So the appointment of a CEO would be accompanied with a directive from the board.

Without objections, the motion has been adopted. Mr Shimadzu is now the president. I congratulate him. Lady Huldah is the CEO. I congratulate her.

I move that this Board direct the Chief Executive Officer to act in a manner consistent with the Corporation's articles of incorporation, and with the Terran principles of good governance and corporate social responsibility, during their term of office.

Lady Llynadorion: "When I hear Terran businessmen discussing 'principles of good governance' and 'corporate social responsibility', there usually seems to be an element of mirth and eye-rolling attached to it. One of them tried to explain it to me as being 'words for public consumption'. Perhaps Mr Ogasawara can enlighten on their actual meaning?"

Hyunadorion-hime, it is the norm on our homeworld for corporations to act not as soulless machines that grind the bank balances of their customers, and the souls of their employees, down into boundless profits, but instead as responsible members of the community, alongside their flesh and blood counterparts.

I should hope Hyunadorion-hime agrees with me when I say that it behooves this Corporation to act as a vanguard of Hoennese, and indeed Terran, culture, in Shireroth, and the good neighborliness of Terran corporations is no small part thereof.

I disagree with the motion as it is presently worded. We should always ensure true parity between Terra and Micras. As such I suggest these to be the directives for the CEO:

– to ensure that half of all employees are natives to either planet
– to ensure that half of all employees are stationed in either planet
– to ensure that the Company applies social responsibility and good governance in all its dealings
– to ensure that the shareholders receive a generous profit
– to ensure that half of all expenses for the company occur in either planet
– to ensure that half of all taxes paid occur in either planet

This Board is saddened by the passing of the late Lady Dragonmoor, and is appreciative of her commitment to diplomatic relations between our countries, peoples, and worlds.

This board, however, cannot agree with extension of the purposes of the company beyond those outlined in the Articles of Association. Therefore, I move that the fourth passage be struck from the motion at hand.

This Board is saddened by the passing of the late Lady Dragonmoor, and is appreciative of her commitment to diplomatic relations between our countries, peoples, and worlds.

This board, however, cannot agree with extension of the purposes of the company beyond those outlined in the Articles of Association. Therefore, I move that the fourth passage be struck from the motion at hand.

Second this motion
